Terms & Conditions
These terms govern your use of Kipuly — the service that gives the AI assistant you already pay for a permissioned employee account inside your business. They are written to be read; if anything here is unclear, ask us before you rely on it.
1.0Who we are, and agreement
Kipuly (operated by Alvaro Fernando Cardenas Camarena, "Kipuly", "we", "us") provides the service described at kipuly.com. By creating an account or using the service you agree to these terms on behalf of yourself and, if you use Kipuly for an organization, on behalf of that organization ("you", "your workspace"). If you do not have the authority to bind your organization, do not accept these terms for it.
Kipuly is a tool for businesses. You must be at least 18 years old and using the service in the course of a trade, business, craft, or profession.
2.0What Kipuly is — and is not
Kipuly is a system of record and a permission layer. It stores your business records, and it lets AI assistants that you already subscribe to (such as Claude or ChatGPT) read and act on those records under rules you control: new AI connections start with read and draft access only, and consequential actions performed through Kipuly require your explicit approval until you decide otherwise. Kipuly governs what happens inside your workspace. It does not control other tools or integrations you connect your AI to, and makes no representation about what your AI can do through them.
Kipuly is not an AI provider. We do not supply, resell, or meter AI models, and the service performs no AI inference of its own. Your AI subscription is your own relationship with its provider, governed by that provider's terms. Everything Kipuly computes — totals, validations, deduplication, policy decisions — is deterministic.
3.0Accounts and workspaces
You sign in through our authentication provider. Keep your credentials, and the email accounts that receive approval links, secure: approval links carry real authority in your workspace. You are responsible for the people you invite, the roles you give them, and the actions taken under your workspace's accounts — human and AI alike.
Provide accurate account and billing information and keep it current.
4.0Your AI connections
When you connect an AI assistant, you authorize it to act inside your workspace as a distinct principal, subject to the permission policies in force at the time of each action. You acknowledge that:
- every action policy (allow, require approval, deny) is evaluated server-side on every action, and defaults for new connections are deliberately restrictive;
- data your assistant reads through Kipuly enters your conversation with your AI provider and is thereafter handled under your agreement with that provider;
- an action you (or an approver you designated) approve is your instruction — Kipuly executes it faithfully and records it, but the decision is yours.
5.0Approvals and the audit log
Consequential actions produce approval requests delivered out-of-band (for example, signed email links). Some sent actions offer a short undo window (currently five minutes for outbound mail); after it lapses the action is final. Every write and action produces an immutable, hash-chained audit event. The audit log is the authoritative record of what happened in your workspace; we cannot edit it retroactively, and neither can you — that is the point.
6.0Plans, billing, and limits
Kipuly is sold at a flat monthly price per workspace — currently Solo $29, Team $79, and Pro $199 per month — with no per-token or usage-metered fees, ever. A new subscription starts with a free trial (currently 14 days) that requires no payment card; one free trial per account, and any longer trial or comped period is granted individually, in writing, to a named account. If the trial ends without a payment method on the subscription, the workspace becomes read-only: your data stays readable (including evidence-pack exports), and changes resume once you add a payment method from the billing page. A read-only workspace is kept for ninety days and then deleted after notice, as described in section 10. Payments are processed by Stripe; by adding a payment method or subscribing you authorize recurring monthly charges until you cancel.
Each plan includes stated limits (for example: human seats, attachment storage, and stored records — currently 10,000 on Solo, 100,000 on Team, 1,000,000 on Pro). When a limit is reached the service refuses further writes of that kind and tells you why; nothing is silently dropped. You can upgrade, downgrade, or cancel from the billing page; changes take effect through your Stripe-managed subscription. Your first payment on a new subscription carries a 30-day money-back window: cancel within 30 days of that first charge and ask us for a full refund. Beyond that window, fees already paid are non-refundable except where the law requires otherwise.
7.0Your data and your ownership
Your records are yours. You grant us only the license needed to host, process, back up, display, and transmit them to operate the service. We claim no ownership of your data and we never use it to train AI models — ours or anyone else's.
You can export your workspace data at any time, and leaving is a supported feature, not an obstacle course. How we handle personal data is described in the Privacy Policy, which is part of these terms. Where your records contain personal data about your own customers, you are the controller of that data and instruct us to process it to provide the service.
8.0Acceptable use
Do not use Kipuly to break the law, to store or send unlawful content, or to send spam. Do not probe, bypass, or interfere with the service's security or tenancy isolation, overload the service, or attempt to access another workspace. Do not resell the service or misrepresent who is operating your workspace. We may suspend workspaces that put other customers or the service at risk.
9.0Availability and changes
We work to keep Kipuly available and fast, but the service is under active development and is provided without a guaranteed uptime commitment at this stage. We may improve or change features; if a change materially reduces what your plan includes, we will tell you in advance and you may cancel before it takes effect.
10.0Leaving, suspension, termination
You may cancel at any time; your plan runs to the end of the paid period. If a payment fails and is not resolved within seven days, the workspace becomes read-only until billing is fixed: your data stays readable and exportable, and changes resume once payment succeeds.
Whenever access ends — a free trial that ended without a payment method, a cancelled subscription, or a failed payment that was not resolved — we keep the workspace read-only and available for export for ninety days. We email the account owner thirty days and again seven days before that period ends; then we delete the workspace data from live systems. Backup copies age out on their own schedule, within ninety days after that. We keep data longer only where the law requires it.
We may suspend or terminate your access if you materially breach these terms or where the law requires it. Where practical we will warn you first and give you a chance to fix the problem.
11.0Disclaimers
To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Kipuly records, gates, and executes instructions; it does not guarantee the commercial outcomes of decisions you or your AI assistant make, and it is not responsible for the outputs or availability of your AI provider.
12.0Limitation of liability
To the maximum extent permitted by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and our total aggregate liability arising out of or relating to the service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.
13.0Indemnity
You will defend and indemnify us against third-party claims arising from your data, your use of the service in breach of these terms, or your violation of law — provided we notify you promptly and let you control the defense.
14.0Changes to these terms
We may update these terms as the service evolves. For material changes we will give you at least fourteen days' notice by email or in the console before they take effect. Continuing to use the service after that date means you accept the updated terms; if you do not, cancel before they take effect.
15.0Governing law
These terms are governed by the laws of Jalisco, Mexico, excluding its conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction, unless mandatory consumer or local law provides otherwise.
